Trackpad Systems Inc.
Software Subscription and Data Services Agreement
This Software Subscription and Data Services Agreement (“Agreement”) is entered into as of
[Date ] by and between Trackpad Systems Inc., a corporation organized under the laws of British Columbia, with its principal place of business at 1011 Burdett Ave. in Victoria, BC.
1. Purpose
Trackpad provides a subscription-based software platform for lawful data capture, structured signal interpretation, secure storage, and authorized clinical or research workflows. The platform may include visual binary interface tooling, cloud-hosted services, archival functions, account management, and integrated device or telemetry support.
2. License grant
Subject to this Agreement and payment of all applicable fees, Trackpad grants Subscriber a limited, non-exclusive, non-transferable, revocable license to access and use the Trackpad Services for internal business, clinical, or research purposes only. No ownership is transferred. All intellectual property rights remain with Trackpad or its licensors.
3. Account term
The parties may agree that the subscription continues on a recurring basis until terminated under this Agreement. Any statement that the account has “no expiration” shall mean only that access continues while fees are paid and terms are complied with; it does not create perpetual rights or waive Trackpad’s right to suspend or terminate for breach.
4. Permitted use
Subscriber may use the service only for authorized, lawful purposes. Subscriber shall not:
Reverse engineer the software.
Share credentials outside authorized users.
Reuse the service commercially for third parties without written consent.
Use the platform in violation of privacy, health-data, export-control, or security laws.
Misrepresent the service as a certified medical device unless Trackpad expressly and lawfully authorizes that use.
5. Data handling
Subscriber retains rights in its own data, subject to the rights necessary for Trackpad to host, process, store, transmit, and back up the data to provide the service. Trackpad may implement encryption, audit logs, role-based access, and integrity controls, including blockchain-style hashing or ledger references where configured, to preserve provenance and tamper evidence.
6. Medical and licensed user access
If doctors or other licensed professionals are permitted to use the platform, Subscriber is responsible for ensuring they are duly licensed, credentialed, and acting within their legal scope of practice. Trackpad may rely on Subscriber’s verification of professional status and may require documentary proof before enabling restricted modules.
7. No clinical substitute
Trackpad is a data and workflow platform, not a substitute for medical judgment. Any clinical interpretation must remain the responsibility of licensed professionals.
8. Confidentiality
Each party shall protect the other’s confidential information using reasonable administrative, technical, and physical safeguards. Confidential information includes account credentials, software architecture, source materials, pricing, security controls, and non-public product designs.
9. Security
Trackpad may require multifactor authentication, device attestation, encryption at rest and in transit, access logging, and monitoring of service integrity. Subscriber shall promptly report any unauthorized access or suspected compromise.
10. Fees
Subscriber shall pay all subscription fees, storage fees, overage charges, support fees, and any applicable taxes in accordance with the order form.
11. Termination
Trackpad may suspend or terminate access for non-payment, breach, security risk, or unlawful use. Upon termination, Subscriber must cease use and return or delete Trackpad materials as instructed, except where retention is required by law.
12. Intellectual property
Trackpad retains all rights in the software, documentation, marks, designs, interfaces, and related materials. No right is granted to reproduce, distribute, sublicense, or create derivative works except as expressly authorized in writing.
13. Governing law
This Agreement shall be governed by the laws of British Columbia, without regard to conflict-of-law principles. Venue shall lie in the courts or arbitration forum specified in the order form.
14. Entire agreement
This Agreement, together with the order form and any applicable exhibits, constitutes the entire agreement between the parties.

Trackpad Systems Inc. Policy Statement
Trackpad Systems Inc. is committed to lawful, secure, privacy-respecting software and data services. Our platform is designed for authorized users, including licensed professionals and institutional customers who require dependable data handling, auditability, and controlled access.
We trust licensed doctors and other professionals because trust is not blind; it is operational. It is earned through credential verification, role-based permissions, audit trails, service agreements, security training, and lawful scope limitations.
Trackpad offers:
A premium subscription model with continuing service and support.
Secure cloud storage and backup design.
Structured workflows for research, telemetry, and authorized professional use.
Technical innovation in augmented intelligence and visual binary interfaces.
Scalable architecture for research, clinical, and enterprise environments.
“Spikes-to-signals” concept
The spikes-to-signals system should be described as a signal-processing and classification pipeline: input events are captured, normalized, encoded, and stored as discrete records. In a lawful deployment, this may involve EEG-derived features, metadata, and integrity hashes, but not claims that the system can replace medical interpretation or guarantee clinical outcomes.
On Trackpad Plasma Systems
Trackpad Plasma Systems can be presented as a future-facing interface and display layer for augmented intelligence: luminous, high-visibility, and visually expressive, but still governed by security, safety, and product-use restrictions.
Copyright
Trackpad Systems Inc. marks, software, and documentation are protected by applicable copyright and trademark law. Unauthorized use is prohibited.
Trackpad Systems Inc. Brain Data Services Agreement
This Agreement is entered into between Trackpad Systems Inc. (“Trackpad”) and the subscribing user or institution identified in the order form (“Customer”).
Purpose
Trackpad provides a subscription-based service for the capture, encoding, storage, backup, and retrieval of authorized brain-signal data, metadata, and related visual-binary records. The service is intended for lawful research, clinical support, archival integrity, and approved professional workflows only.
IP clause
Trackpad owns all rights in the software, interface design, visual binary formats, cloud architecture, documentation, and any derivatives not expressly assigned in writing. Customer retains ownership of its pre-existing data and any personally created content, subject to the license necessary for Trackpad to operate the service.
Data sovereignty clause
Customer data will be stored and processed only in the locations specified in the order form or service schedule, subject to applicable law. Trackpad will use commercially reasonable efforts to keep data under the designated jurisdiction and to disclose any material cross-border processing requirements. If a foreign legal demand affects the data, Trackpad will notify Customer where legally permitted.
Liability clause
Trackpad does not warrant that the service is error-free, medically diagnostic, or fit for any purpose beyond the service description. Trackpad’s aggregate liability shall be limited to the fees paid during the prior months, except where prohibited by law. Trackpad is not liable for indirect, incidental, special, consequential, or punitive damages, or for losses caused by Customer misuse, unlawful use, credential compromise, or third-party systems.
Security and service levels
Trackpad will maintain reasonable administrative, technical, and physical safeguards, including encryption, access controls, audit logs, and backup routines. Any specific security tier, uptime commitment, or retention period must be stated in the order form.
Commercial reuse limitation
Customer may use the service only for internal or authorized institutional purposes. Re-sale, sublicensing, white-labeling, or commercial reuse for third parties is prohibited unless Trackpad provides written consent.
Term and subscription
The subscription continues until terminated in accordance with the Agreement. “No expiration” means that access remains active while the account remains in good standing and the service is offered.
